Dear Sir

I have seen capt Smylie and we have arranged matters. Whether you accept his proposition or mine we will operate under the same contract. After our conversation on Saturday last I concluded to alter the proposition I submitted to you and to leave out what you regarded as an objectionable feature. But in calling at Your office on Sunday I did not find you in. Enclosed you will find the proposition as susequently drawn off by me. I should be glad to hear from you at Canton as soon as you hear from Richmond
