resignation, death, removal or for disqualification, the Governor of the State shall appoint another to fill such vacancy and his appointee shall hold office for the unexpired term of the said trustee.
Section 4. There shall be an annual meeting of the Board of Trustees of the said State College of Durham at a time to be fixed by the said Board. At any annual meeting of the said Board any number of trustees, not less than seven, shall constitute a quorum, and be competent to exercise full power and authority to the duties of the corporation, and the said Board shall have the power to appoint special meetings of the trustees at such time and place, as in their opinion the interest of said State College may require but no special meeting shall have the power to revoke or alter any proceedings or resolution of an annual meeting and the Board of Trustees at any annual meeting may revise, alter, amend, or ordain such by-laws from time to time, as to it seems meet, limit, control and restrain the business to be transacted, and the property to be possessed and exercised by special meetings of the Board, called according to law, and the powers of such special meetings shall be limited, controlled and restrained accordingly, and authorized by a full and complete record of all resolutions and acts authorized by the Board of Trustees at the annual or special meetings.
Section 5. The Trustees shall have the power to make such rules and regulations for the management of the State College for Colored People as they may deem necessary and expedient, not inconsistent with the laws of the State, and the said Trustees shall have the power to appoint from their number an Executive Committee, consisting of not less than four members, which committee shall be clothed with such powers as the Trustees may confer.
Section 6. The Trustees shall have the power to appoint a President for the said State College for Colored People of North Carolina and such professors, tutors and instructors as to them shall appear needful, and proper, and shall have power to displace any trustee for misbehavior, inability, or neglect of duty and shall have the power to make all such laws and regulations for the government of the State College for Colored People as representatives of order and good morals thereto as to them may appear necessary; provided they are not contrary to the laws of the State. The faculty of the said State College, by and with the consent of the trustees, shall have the right to grant and confer such degrees or honors or literary distinction as are usually conferred by colleges or universities.
Section 7. The Trustees shall elect and commission some person to be Treasurer of the Corporation, giving them and the person so commissioned time to bond, when elected and qualified, which treasurer shall enter into bond to the State of North Carolina, in the sum of not less than ten thousand dollars, conditioned for the faithful discharge of his duties as the treasurer and binding to account all moneys and chattels belonging to the corporation which shall be in his hands at the expiration of his office shall then be immediately paid and
