for the use of the Lot for such interments.

Resignation of Israel M. Spelman President and Trustee
A letter 442 from Mr. Israel M. Spelman, resigning the office
of President of the Corporation and also as a member of
the Board of Trustees was presented and read by the
Chairman and it was Voted that his resignation as
President be accepted and that the Board proceed to
the election of one of their own number as his successor.

Prentiss Cummings chosen President
The Secretary having been directed to receive, sort and
count the ballots cast reported that seven ballots
had been cast, all of which were for Mr. Prentiss Cum-
mings and he was declared duly elected.

Salaries for President and Trustees By Laws to be amended
Committee appointed
Voted that it was the sense of the meeting that the
By-Laws should be amended so as to provide for the pay-
ment of a suitable salary to the President for his services
rendered while in office and for the payment of com-
pensation to the members of the Board for then services
in attending it meetings; also Voted that a Committee
of two be appointed by the chairman to consider and
report as to the best method of procedure to be
adopted in order to secure the passage of such an
amendment and Messrs. Choate and Cummings were
appointed to act as such Committee and also to con-
sider the subject of a general revision of the By-Laws.

Mr. Spelman Requested To Withdraw [his resignation as Trustee]
Mr. Spelman's resignation as a member of the Board
was then considered and it was Voted that in view of the
fact that by reason of the death of Mr. Sears and the
