ween the Society and David Thomson and Giraud F. Thomson, trustees under the last will and testament of Clara Hall Jerome , deceased. On motion of the Counsel, seconded by Mr. Gerry , the following resolution was thereupon adopted:

RESOLVED, That the agreement between the Society and David Thomson and Giraud F. Thomson, trustees under the last will and testament of Clara Hall Jerome, deceased, be spread upon the minutes, and that the President be authorized on behalf of the Society to execute it , and also to execute an agreement in like form with Mr. Adrian Iselin, if Mr. Iselin so desires.

COPY OF AGREEMENT.

THIS AGREEMENT, made the 20th day of December, one thousand, eight hundred and ninety - seven, Between THE AMERICAN SOCIETY FOR THE PREVENTION OF CRUELTY TO ANIMALS, party of the first part, and DAVID THOMSON and GIRAUD F. THOMSON, as Trustees under the last Will and Testament of CLARA HALL JEROME, deceased, parties of the second part, WITNESSETH :

WHEREAS, the party of the first part is now the owner in fee of certain land, with the building thereon being erected, situated in the City of New York, at the northwesterly corner of Madison Avenue and Twenty - Sixth Street ; and

WHEREAS, the parties of the second part are now the owners in fee of the land, with the building thereon erected, situated on the northerly side of said Twenty-Sixth Street, now known as Number 25 East 26th Street; which land and building adjoin the said property of the party of the first part on the west ; and

WHEREAS, the cornice on the westerly side of the building being erected by the said party of the first part overhangs the property of the party of the second part;

NOW, THIS AGREEMENT WITNESSETH, That
