This Agreement made 31st day of March AD. 1993, by and between the Pacific Improvement Company a Corporation duly incorporated and existing under the Laws of the State of California the party of the first part and the Pacific Grove Retreat Association [?] Corporation duly organized incorporated and existing under the laws of said State, the Party of the Second part

Witnesseth [margin: 1875] That whereas said party of the Second part has caused to be sold to the friends and members of said assoiation to hold use and occupy, subject to the by laws, rules and regulations of the said association many lots and parcels of of land, in the tract of land known as the Pacific Grove Retreat situate in the county of Monterey State of California as surveyed by St John Cox, Esq Surveyor in July AD 1825, the map or plat of said survey now of record in the county Recorder office of said Monterey County reference being had thereto and record thereof, for a more perfect description of said tract of land.

religious and moral instruction on social Grounds and many persons under the moral and religious liberty and influence of said association resort to said Grounds.

Therefore in consideration of the premises aforesaid and as an inducement and incentive to said party of the second part to continue the moral and prudential control of the Grounds aforesaid and of the sum of one dollar the receipt whereof is hereby acknowledged.

Said party of the first part covenants promises and agrees to and with said party of the second part. That the Financial management and control of the aforesaid Pacific Grove Retreat shall be in the hands of a Superintendant of the Grounds appointed by said Pacific Improvement Company, and the moral and prudential management and control therof shall be in the hands of the Pacific Grove Retreat Association.

And it is further understood and agreed that the same conditions and restrictions [?on] contained in the Deeds used by the Pacific Improvement Company shall aplly to all lands sold within a radius of one mile from the Geographical center of the land described and embraced in the afore-

said survey.

And that the Superintendent appointed by the Pacific Improvement Company shall in no manner a degree interfere with the order prescribed by the Pacific Grove Retreat Association otherwise than to aid in enforcing the rules and regulations of the same.

In witness whereof said party of the first part and said party of the second part respectively hath caused these presents to be subscribed to by its President and Secretary [then] unto duly authorized and the corporate name and seal of the respective parties to be hereunto affixed the day and year first above written.

Se 3rd The officers of the Board shall consist of a President and Secretary, and an Executive Committee. The Executive Committee shall consist of the President and Secretary and three additional members of the board of Directors who shall be elected at the annual meeting of the Board in each year. Three members of the Executive Committee shall constitute a quorum of such commitee.

Sec 4th The election of Directors shall be held at the Annual meeting of the Board the third Thursday in June of each year Notice of the election shall be given by the Secretary who shall send a notice by mail to each member of the Association at least ten days before such meeting. In case the Annual meeting shall not be held as designated by these By Laws it may be held at such time and place as shall be designated by the executive committee upon the same notice being given as is provided for in the case of the Annual meeting

Art V. Meetings

Sec 1st The Annual meeting of the association shall be held at the Grove on the third Thursday of June in each year. Six members of the board shall constitute a quorum.

Sec. 2nd Meetings of the Association may be held at the call of the Executive Committee or any three members of the board upon the same notice required for the annual meeting of the Association.

Sec. 3rd If any member of the board absent himsef from two consecutive meetings of Association regularly called his place may be declared vacant unless a valid excuse be rendered, and the vacancy filled by the Executive Committee until the next annual meeting.

Act VI Amendments These By Laws may be altered or amended by a vote of a majority of the whole board, at any annual or other regularly constituted meeting of the Board.

Sewerage - On motion of Chas Goodall it was Resolved- That the Pacific Improvement Co. be requested to take immediate steps for the sewerage of the grounds of the Retreat, it being considered of the utmost importance that the health and cleanliness of the Grove be maintained.

Smoking - On motion it was ordered that no smoking be allowed on the platforms and in or near the public buildings upon the Grounds.

Plaza - On motion it was Resolved - That we regret to see that in locating the new Restaurant the Pacific Improvement Company has unintentionally encroached upon the Public Plaza, and we respectfully request that no further encroachment be made on said Plaza or any other public grounds as designated and defined in the official map on file in the County Clerks office of the County of Monterey as such encroachments damage the appearance of the Grounds and invade the vested rights of parties who have purchased lots fronting said Plazas or grounds devoted to public uses.

Baggage On motion the Superintendent was asked to see that no baggage be delivered on the Grounds on Sunday in time of public religious services.

Lots &c On motion it was resolved to ask the Pacific Improvement Co. in the further sale of lots to so far limit the Sale of lots to Single individual purchasers and owners as to prevent as far as possible excessive speculation in said lots, as lots in the old survey are being held by speculators at such rates as to discourage the purchase of the same, and thus prevent the growth of the resort and the number of visitors coming to the same.

The Association proceeded to its Annual Election of members which election resulted as follows - Otis Gibson of San Francisco. H B Heacock and R McElroy additional members of the Executive Committee.

The following resolution was unanimously adopted.

Resolved That we hereby endorse the administration of J.O. Johnson, Superintendent, employed by the Pacific Improvement Co and assure him of our hearty cooperation in all efforts to carry out the purposes of the Association.

Chas Goodall and F.F. Jewell were made a Committee to request in behalf of the Association, that Annual Passes to and from the Grove be granted the members of the Association, over the line of the Southern Pacific R.R. Northern Division).

A Series of Rules was submitted by the Secretary and after discussion and amendments was acted upon seriatim, and adopted as follows - see over After which the minutes were read and approved, and the Board adjourned.

Copy of Rules for Pacific Grove Retreat adopted June 21st 1883, by Board of Directors

Uses of Property The property here sold and conveyed is to be used for Residence purposes only and no person will be allowed to open or maintain any lodging or boarding house, or carry on any trade or business, on any lots subjected by conveyance to these conditions under penalty of forfeiture.

Stables The Keeping of horses or cattle with in the grounds of the Retreat and its additions is prohibited, except at such places as may be designated by the Association.

Offal All out-houses shall be Kept thoroughly clean and all filth shall be removed beyond the limits of the Association grounds.

Bathing No person will be allowed to pass and repass from any other part of the grounds to the beach in bathing suit only. No person will be allowed to appear at the beach or in the water in

'Tights' or Jerseys only. All land lying between the water and Ocean Avenue is the property of the Company and strictly under the control of the Superintendent, and all persons not complying with these rules will held liable for trespass.

Riding or Driving No part of the grounds is intended for a public thoroughfare, and all persons entering them on horseback or in carriages are requested not to ride or drive on any street walk or lane or any other part of the Grounds faster than walk.

Animals No stock of any description including dogs, goats, and fowls, or other domestic animals shall be allowed to roam at pleasure through the Grounds of the Retreat.

Intoxicants The buying selling or giving away of any and all intoxicants, [spirit?ons] liquors wine, beer, or cider are strictly prohibited on any public or private property within one mile of the center of the original survey of the Retreat and the Directors hereby request all well disposed
