My dear Mrs.Stanford:-

I enclose you copy of letter received from Mr. Thos. E. Stillman,
which speaks for itself. From this letter you will have his views about
the control of the Pacific Improvement Co. There will be a meeting of
the Crocker Estate Co. this morning, when I will present his letter to the
Directors, and when I meet you this afternoon at two o'clock I will be in
a position, I think, to give you the views of the Crocker Estate Co. on Mr.
Stillman's proposition. I hope that you will have studied Mr. Stillman's
proposition and be able to give your views when I meet you.

Mr. Stillman did not enclose the proxy to me he speaks of, but
there is a proxy here made out in the name of F.S. Douty or Thos.H. Hub-
bard from Mr.Stillman; also one made out to F.S. Douty or Thos. H. Hubbard
from Thos. H. Hubbard & Co. of the stock of the Pacific Improvement Co.
owned by these two parties. Mr.Douty is so unwell that it will be im-
possible for him to be at the meeting next Wednesday. I sincerely hope
that you will be present in person. I have just received a telegram
from General Hubbard in which he says he will send me power of attorney
to vote the stock of Thos. H. Hubbard & Co. If the power of attorney does
not get here, he asks Mr. Douty to substitute my name for his own on the
proxy Mr. Douty has.
