Dear Sir:In April last at the annual election for the Directors of the Central Pacific Railroad Company, Judge Francis E. Spencer was elected one of the Directors, as personal representative of myself, as Executrix of the Estate of my late husband. The right was conceded to me by the stockholders in view of the Estate being the largest individual stockholder in that Company.
By the death of Judge Spencer a vacancy occurred in the Board and I was subsequently informed you were elected as Jusdge Spencer's successor without my knowledge and without my having been accorded the courtesy of being consulted in advance as to who should be his successor. The other stockholders of that Company, representing upwards of 350,000 shares of stock, exclusive of that owned by the Estate, have expressed their opinion that my wishes should have been respected as to filling this vacancy.
I feel that the interests of the Estate which I represent are too great to be neglected and that it should have a representative in the Board. Under the circumstances I believe that I have the right to respectfully request that you tender to the Board of Directors of the Central Pacific Company your resignation as a Director, so that the Estate may have a representative in that Board to protect its interests who is entirely acceptable to myself.
