AND BE IT FURTHER RESOLVED: That said Union Pacific
Railroad Company, or its Transfer Agent, be and it is
hereby authorized, empowered and requested to discharge
the said bonds from registration and endorse the same
to bearer and to return the same to said Lathrop or to
such Bank as he may designate, and this shall be its
authority for making such discharge of registration,
and so returning said bonds."

THE undersigned hereby certifies that the foregoing is
a true and correct copy of resolutions adopted at said
meeting of said Board of Trustees; and further that
said The Board of Trustees of the Leland Stanford
Junior University has no seal.
