THAT in the minutes of said meeting there is a recital that due notice of said meeting was given as provided in the certificate of organization of said Board of Trustees, dated November 1, 1901, and as provided in the By-Laws of said Board of Trustees and in every respect as provided by law. THAT at said meeting, a quorum being present and voting, the following resolutions were unanimously and duly adopted: ''WHEREAS The Board of Trustees of the Leland Stanford Junior University, a body corporate under the laws of the State of California, has full power to sell and direct the transfer of all bonds and other securities belonging to said body corporate, and full power to have the bonds and other securities registered in its name discharged from registration; and WHEREAS this Board is now the owner of 238 First Mortgage, 5% bonds of the par value of $1000. each of the Northern Railway Company of California, maturing in 1938, and has agreed to sell the same, said sale not yet being consummated, said bonds being numbered 1021 to 1026, both inclusive, 1139 to 1140, both inclusive, 1266 to 1319, both inclusive, 1383 to 1424, both inclusive, 1481 to 1483, both inclusive, 2843 to 2853, both inclusive, and 2611 to 2635, both inclusive; and WHEREAS the said bonds now stand registered in the name of "The Board of Trustees of the Leland Stanford Junior University, Jane L. Stanford, Agent and Attorney in Fact," and it is necessary in order to carry out said to discharge said bonds from registration, or endorse the same to bearer:

RESOLVED, That said bonds be discharged from registration and be endorsed to bearer, and that Charles G. Lathrop, the Treasurer of the Board of Trustees of the Leland Stanford Junior University, be, and hereby he is, authorized, empowered and directed to deliver said bonds to the Northern Railway Company of California, or to its Transfer Agents in the City of New York, State of New York, for such discharge from registration or endorsement to bearer; AND BE IT FURTHER RESOLVED: That said Charles G. Lathrop, as such Treasurer, is hereby constituted and appointed the true and lawful attorney, irrevocably for and in the name and stead of said the Board of Trustees of the Leland Stanford Junior University, but to its use, to bargain, sell, assign and transfer to bearer the said bonds; and for that purpose to make and execute all necessary acts of assignment and transfer, and to execute and deliver all other papers necessary for that purpose, and one or more persons to substitute with like full power; and said Lathrop is hereby by these resolutions further authorized and empowered to irrevocably constitute and appoint such other person or persons as he may select, the true and lawful attorney, for said body corporate and in its name and stead, but to its use, to sell, assign, transfer and make over, the said bonds, and for that purpose to make and execute all necessary acts of assignment and transfer thereof, and to execute and deliver all other papers necessary for that purpose, and to substitute one or more persons with like power; hereby ratifying and confirming all that said Charles G. Lathrop, said attorney or attorneys, or any of said substitute or substitutes or appointees, shall lawfully do by virtue hereof.

AND BE IT FURTHER RESOLVED: That said Northern Railway Company of California, or its Transfer Agent, be and it is hereby authorized, empowered and requested to discharge the said binds from registration and endorse the same to bearer and to return the same to said Lathrop or to such Bank as he may designate, and this shall be its authority for making such discharge of registration, and so returning said bonds.'' THE undersigned hereby certifies that the foregoing is a true and correct copy of resolutions adopted at said meeting of said Board of Trustees; and further that said The Board of Trustees of the Leland Stanford Junior University has no seal. Geo. E. Crothers, February 13th, 1908. As Secretary of The Board of Trustees of the Leland Stanford Junior University.

I H. I. Mulcrevy County Clerk of the City and County of San Francisco, and ex-officio Clerk of the Superior Court thereof, the same being a County of Record, DO HEREBY CERTIFY, That

James Mason

whose name is subscribed to the Certificate of the proof or acknowledgment of the annexed instrument and thereon written, was, at the time of taking such proof and acknowledgment, a Notary Public, in and for said City and Country, residing therein, duly commissioned and sworn, and authorized by the laws of said State to take the acknowledgments and proofs of deeds or conveyances, for land, tenements or hereditaments in said State, to be recorded therein. And further that I am well acquainted with the handwriting of such Notary Public, and verily believe that the signature to said certificate of proof or acknowledgment is genuine.

IN TESTIMONY WHEREOF, I have hereunto set my hand and affixed the seal of said Court, the 14th day of Feb., 1908.

On this 13th day of February, 1908, before me, James Mason, a Notary Public in and for the City and County of San Francisco, State of California, personally came George E. Crothers, to me known and known to me to be the Secretary of The Board of Trustees of the Leland Stanford Junior University, a body corporate under the laws of the State of Califonia, who, being by me first duly sworn, did depose and say that he resides at the City and San Francisco, State of California; that he is the Secretary of The Board of Trustees of the Leland Stanford Junior University, the body corporate named in the attached certificate; that said body corporate has as yet adopted no seal and that for that reason no seal is affixed to the foregoing instrument; that by authority of said Board he signed the said certificate; that the said Charles G. Lathrop who executed the foregoing instrument as Treasurer of the said body corporate is the Treasurer thereof and signed said instrument by authority of its Board of Trustees. And further, I have seen the original minutes of the meeting of the Board of Trustees of said body corporate held on the 7th day of February, 1908, and have compared the copy of the Resolutions set forth in the annexed certificate of George E. Crothers as Secretary of said body corporate, with the original on the books of said body corporate and that it is a true and correct transcript from the same.
