Certicates NOs 10 to 20 both inclusive each for 1000 shares of $100 each = 1000000

All the foregoing belong to [them?] The Contract and finance Co. stock is much more valuable than par. The Co now hold of the full Land stock of the Central Pacific RR Co. ($10000000.00) ten millions

This memorandum of an agreement made and entered into this twentieth day of March AD 1868 between the Southern Pacific Railroad COmpany and the Western Pacific Railroad Company duly represents by the undersigned parties of the first part the individuals whose names are subscribed here to parties of the second part and George Bearst of the city and Courts of San Francisco State of California park of the third part

Witnesseth that said parties of the first part in consideration of the sum of one dollar to them in [haist?] paid by the part of the third part of and before the enscaling and delivery of the present the receipt whereof is hereby acknowledged and of the fact that said party of the thrid part has before this time placed valuable improvements upon the land herein after described and which said parties of the first part are at this time applying to the legislature for a grant for Railroad purposes and in order to secure to said part of the third part his said improvements have agreed and by these presents do agree that within thirty days after the improvement of the value of the three hundred acres of the commissaries

appointed for that purpose of the submerged lands in the city and courts of San Francisco lying southernly of Charmed Strat as now sought for as aforesaid by said Companies for Railroad Trerrini and upon payment with them by the party of the third part of the average proportion of such seen as sums as the Commissioners may appraise and fix as the price of said lands they will make execute and deliver to said party of the third part and to his heirs or assigns a good and sufficient deed or deeds of congregants of such right tittle and interest as they may obtain by virtue of said grant and the proceedings therefore of one equal undivided fourth part of so much of said [submerged?] lands which maybe obtained by said Companies or either of them from the State and as shall prove to have been covered by any of the Certificate of Purchase issued by the State Authorities in the year 1864 and which Certificates were held by Henry F Millianis as assignee of the original locators expect to Blove R ho 26 formulated by new Chaumet Kentucky Hiloris and Diffeeuth [Sree?] 5.

agreed that the sum to be paid by said party of the their part to said parties of the first part for said lands is to be at the average rate per acre which said commissions shall appraise said land if being intended that said party of the third part shall get said land at the appraised price thereof witht any additional expense.

And the said parties whose names are subscribed hereto parties of the second part do hereby for themselves their heirs executors and administrators covenant and agree to and with the said party of the third part that they have full power and authority to bind the said Railroad Companies and that the said Railroad Companies and each of them will mett and faithfully perform this contract.

The said part of the third part is also at the same time ti convey to the said parties of the first part the remaining three fourths of all the interest deliver [means?] of the lands as shall be granted to and treated by the said parties of the first part
