WHEREAS the Most Reverand PARTICK W. RIORDAN ARCHBISHOP OF SAN FRANCISCO contemplates the foundation and establishment of the seminary for the education of young men for the Priesthood of the Roman Catholic Church on certain premises in SAN MATEO COUNTY near MENLO PARK, and fronting on the Middle road lately offered to him for that purpose;

AND WHEREAS, the MANZANITA WATER COMPANY, a corporation organised under the laws of the STATE OF CALIFORNIA, and the Trustees of the LELAND STANFORD JR. UNIVERSITY, are the owners of certain water water rights and water works in the vicinity of the site of said proposed Theological Seminary;

AND WHEREAS, LELAND STANFORD and JANE LATHROP STANFORD, his wife, did by grant to said Trustees, found and endow the said LELAND STANFORD JR. UNIVERSITY by conveying to said Trustees, among other things, certain lands in the COUNTIES OF SAN MATEO AND SANTA CLARA, now known and designated as "PALO ALTA FARM," upon or near which are situated said waters and said water works, and upon which said University Building are being erected;

AND WHEREAS, by the provisions of said grant, during the life of said grantors the right to improve, manage and control the trust property is reserved to them the said LELAND STANFORD and his wife, JANE LATHROP STANFORD;

AND WHEREAS, said MANZAITA WATER COMPANY was formed

among other things, for the purpose of selling water for domestic, manufacturing and irrigating purposes;

AND WHEREAS, the erection and maintenance of a Theological Seminary near to said University, would undoubtedly tend to add largely to the population of the neighborhood, which would require water, and the parties hereto believing that the construction and maintenance thereof would materially add to the income of the said water company and of the Trustees of the University.

NOW THEREFORE, the said MANZANITA WATER COMPANY and LELAND STANFORD and JANE LATHROP STANFORD, his wife, [?in consideration?] of the foundation and maintaining of said Theological Seminary by the said ARCHBISHOP and his successors, do hereby covenant and agree with the said PATRICK W. RIORDAN, Archbishop as aforesaid and his successors, that they will immediately from and after the erection, on the said proposed site, of a building for the use of such Theological Seminary, deliver, from a water main of the said MANZANITA WATER COMPANY, at a point or points to be designated by them, water for the sole use of the said Seminary and the buildings and grounds used in connection therewith, to the extent, if required, of fifty thousand gallons per day, but not to exceed that quantity and subject to the following conditions, viz:

1. That the water so to be taken from the main of said water company and so furnished is to be only for the use of the Seminary aforesaid and for the grounds thereof

and no part thereof is to be sold or supplied to other premises.

2. That the same shall be drawn from the main of the said MANZANITA WATER COMPANY by pipe properly connected therewith at the expense of the grantee herein, and thence conducted to the Seminary grounds.

3. The point to be designated for pipe connection shall be at the main County road leading from SAN FRANCISCO to SAN JOSE (or on some other public road to the Northward thereof) and such as will afford the shortest pipe line, over public road, from the main to the Seminary grounds.

4. In case the mains of the water company should (after connection made with them) be extended to a point nearer to the Seminary grounds, the grantee may change the point of connection of his pipe with the main to such nearer point if he desires to.

5. If, and whenever, the said Seminary site shall be transferred to a corporation organized under the laws of this State for the purpose of establishing such Seminary, this contract may be assigned by the said ARCHBISHOP RIORDAN or his successor to such corporation and thereupon the rights granted herein, shall inure to the benefit of such corporation and shall be appurtenant to the land aforesaid so long as the same shall continue to be used for such Seminary purposes, but,

6. Should said premises at any time cease to be so

use for Seminary purposes, any water thereafter furnished by the said Company through said pipes shall be paid for by the parties using the same at usual rates.

In WITNESS WHEREOF, the said MANZANITA WATER COMPANY has caused its President to sign these presents and its Secretary to attest the same and affix hereto its Corporate Seal, and the said LELAND STANFORD and JAN LATHROP STANFORD, his wife, have hereunto set their hands and seals this twenty first day of October, A.D. 1891, at SAN FRANCISCO, CALIFORNIA.
