Meeting of
May 10, 1902

Proceedings of the meeting of the Board of Directors of the
Houston Oil Company of Texas held at the office of the Company
in the city of Houston Harris County Texas at 10 am May 10th 1902.

A quorum being present

upon motion duly seconded the reading of the minutes of the
previous meetings of the Board of Directors was dispensed with
until the next meeting of the said Board.

Thereupon the following resolution was presented and upon motion
duly seconded was unanimously adopted.

Authority to Pres
& Vice Prests to
Charter Vessels

Resolved that the President the Vice President and the second
Vice President of the Company are each of them authorized
empowered and directed to charter such vessels for this Company
and upon such terms and conditions as they each in their judgement
may deem advisable; and to make; enter into; sign and execute for and
on behalf of this Company such Charter Parties as they each in their
judgement may deem advisable and to execute and give bond
and to make application for and procure such suritees thereon
as they each may deem advisable in the chartering of vessels
and to do any and all thing or things which they each in their
judgement deem advisable for the chartering of vessels and for
giving bonds in connection therewith and the Secretary of the
Company is directed to attach the seal of this Company to the
said charter parties and bonds.

There being no further business the meeting adjourned.
