Meeting of
August 5, 1902

Proceedings of a Regular Meeting of the Board of Directors of
the Houston Oil Company of Texas held at the office of the
Company in the city of New York on the 5th day of August,
1902 at 10:00 AM

A quorum being present to wit:
Thos H Franklin
Jay O Moss
Samuel L Shober Jr
Patrick Calhoun
Thornwell Mullally
J A Whitaker

The meeting was called to order by Mr. Thos H.
Franklin, whereupon, on motion, duly seconded, the reading
of the minutes of the previous meeting of the Board of
Directors was waived until the next meeting of said Board.

Election of Chas
L. Atterbury as
Director

The resignation of Percy B. McLaren as a director
was presented and on motion duly seconded, the same was
accepted and Charles L Atterbury was unanimously elected
a director in his stead.

Declaration of
3% Dividend

Thereupon, on motion duly seconded, the following
resolution was presented and unanimously adopted:

Resolved that the semi-annual dividend of three
percent on the Preferred Stock of the Houston Oil Company
of Texas be and the same is hereby declared payable on the
20th day of August, 1902, to all stockholders of record on the
9th day of August, 1902.

Closing Trans Books

Thereupon, on motion duly seconded, the following
resolution was presented and unanimously adopted:

Resolved that the Preferred Stock Transfer Books of
the Houston Oil Company of Texas be closed on August 9th,
1902 to August 20th, 1902.

In Re
Subscripton of
Patrick Calhoun
for 9464 shares

Thereupon, on motion duly seconded, the following
resolution was presented and adopted by the Board by an
affirmative vote of all present, except Mr. Calhoun who did
not vote:

Whereas the President of the Houston Oil Company
of Texas has accepted the subscription of Mr. Patrick Calhoun
for 9464 shares of the Preferred Captial Stock of the Houston Oil
Company of Texas, pay as follows:
