The meeting was called to order by Mr. Thos. H. Franklin,
President, whereupon, on motion, duly seconded, the reading of the
minutes of the previous meeting of the Board of Directors was
waived until the next meeting of said Board.

Appointment of
Committee to examine
Into affairs
Of S. W. Oil Co.

Thereupon, on motion, duly seconded, and unanimously
adopted, the following members of the Board were appointed
as a committee to examine into the affairs and the conditions
of the Southwestern Oil company with reference to the application by
said Southwestern Oil Company to the Houston Oil Company of Texas
for the advancement of further sums of money and to report at a
subsequent meeting of the Board:

Jay O. Moss

Thereupon, on motion, duly seconded, the meeting was then
adjourned until 11:00 o'clock AM, December 20th, 1902.

Proceedings of an adjourned meeting of the board of directors
of the Houston oil company of Texas, held at the office of the
company in the city of New York, on the 20th day of December,
1902, a quorum being present, to wit:

Thereupon, the committee appointed at the previous
meeting to consider the application of the Southwestern
Oil Company for financial aid reported that without
further examination into the accounts and affairs of said
Southwestern Oil Company it was not considered advisable
for the Board of Directors to act on said application and
that the committee deemed it best that the President of the
Company be authorized to make further examination into the
