Meeting of
December 2, 1902

Proceedings of a regular meeting of the board of directors
of the Houston oil company of Texas, held at the office of the
company in the city of New York, on the second day of December,
1902, at 11:00 o'clock AM, they're being present the following
members of said board, to wit;

Tornwell Mullally
J. A. Whitaker

A quorum not being present the meeting was adjourned.

Meeting of
December 16, 1902

Proceedings of a Special Meeting of the Board of Directors
of the Houston Oil Company of Texas, held at the office of the
Company, in the City of New York on the 16th day of December,
1902, at 11:00 o'clock AM, a quorum being present, to wit:

The meeting was called to order by Mr. Thos. H. Franklin,
President, whereupon, on motion, duly seconded, the reading of
the minutes of the previous meeting of the Board of Directors
was waived until the next meeting of said Board.

President’s Report

Thereupon, the president presented his report to the
board of directors which was duly read and filed.

Thereupon, on motion, duly seconded, the following
resolution was presented and unanimously adopted:

Whereas, on December 4th, 1902, a loan of $150,000 was
negotiated with the United States Mortgage and Trust Company,
of New York City, by Messrs F. A. Pemberton & Company, for account
of this Company; said loan to run for a period of six months from
December 4th, 1902, to bear interest at 6% per annum from the date of
said loan, and to be secured by $225,000 par value of 6% Maryland
Trust Company Timber Certificate of Beneficial Interest in Kirby
