Sir,

I have to acknowledge the receipt of your letter of the 17th
Inst. covering a commission appointing me an attorney for the trus-
tees of the University.

I have to regret that I am compelled to decline the appointment.
My private [blank] are already too numerous, and I am under some
professional engagements which forbid an acceptance of the appointment,

The Papers enclosed in your letter will be returned, if wanted.
