of carrying into effect the objects of the association and hereby [seconds?] as such with the author ity & subject to the conditions in the next article specific, & James Treat is hereby recognized acting manager, secretary treasurer of the association with power & duties as in a subsequent article specified

Seventh There shall continue to be a board of man agers consisting of three persons as above to be appointed by a majority of the subscribers here to or their assigns at a meeting of the Shareholders when the present managers shall resign or as often as a vacancy shall occur which man agers or a majority of them shall have proven to call for the payment of the balance due from the several subscribers hereto on their respective shares in conformity with the provision in Article 5th at such times and such manner as the same shall be required & shall have authority to conduct & manage the affairs & operations of the association To give instructions to the present general agent & all other agents that may hereafter be appointed by the association which instructions shall be binding upon such agents until a decision of the association to the contrary. And they may enlarge or restrict the authority of such agent or agent as they may deem expedient.

Eighth. That James Morgan one of the subscribers hereto possessing the confidence of all the parties he to continue to act as the General Agent of the Company in Texas is hereby authorized to carry into effect all projects already con templated & such further operations as the interest of the company shall be deemed to require from time to time according to his own judgement exercising such powers a discretion as he may be charged with by the board of managers, but subject to their direction in all present [?] operations & subject to the general authority of the association to modify restrict or supersede his powers as

Extract from processing of Meeting held 15th Oct. 1835

Resolution 13th Resolved, on motion, that, Mr James Morgan's proposals to sell to the association his entire individual interests in Texas both real and personal, or any part thereof, that the association think proper to purchase be together with the Schedule of same submitted to Stephen Sicard John P Austin, James Treat as a committee to confer, consider & report thereon, at the next meeting

The Committee appointed at the last meeting to consider & report to the present meeting their opinion of the proposition, made to the association by James Morgan to sell all his property in Texas to the association, presented their written report which was read & Submitted to the meeting for their considera tion, after considerable discussion it was on Motion Resolved, that the association purchase all the property held by the Said James Morgan in Texas (Independent of his interests in this association) and contained in his Proposals & Schedule thereto annexed and in the Report of the Committee in the Sum of Eight Thousand Dollars Say:________________________________$ 8,000 on the following conditions to wit:

The Said Morgan Guaranteed a good & perfect Title of the two leagues of Land, and the two town lots mentioned in his Schedule, and is to receive from the Association, the Said consideration of Eight__ Thousand Dollars at any time the same or any part thereof may be tendered to him by the Association previous to the 1st day of November 1841 on which day he shall have a right to demand the said amount, or any part thereof which may then remain unpaid, subject to the payment of 7 % of ac. interest per annum, on said Sum.

That from the communications received from said Morgan since his return to Texas, it appears that he has been unable to carry forward as contemplated the designs and objects of the Company, in consequences of the dis turbed state of the country, but has no doubt done every thing in his power, with a view to the ultimate interest of the Concern, and will resume his regular & exclusive attention to the interest of this operation as soon as his public duties & other considerations will admit.

Whereupon. It was on motion resolved: That the Shareholders fully approve of the course adopted by the agent, Jas. Morgan, during his last visit to Texas, and also of that of the Secretary & Treasurer.

The Secretary further reports that he had under authority conferred by the Shareholders, opened a correspon dense with Dr. Smith of the Island of Bermuda, in relation to the introduction of indented free colored la bour into Texas. But that since the declaration contained in the constitution of Texas prohibiting the admission of free people of color into that Country, he has considered as useless the further prosecution of the plan. Whereupon, It was on motion resolved that this contemplated arrangement be cancelled and abandoned, & that the Secretary to the [?] in the [?].

The Secretary further reported that the credit he had opened in New Orleans in favor of James Morgan, under his own responsibility for Five Thousand Dollars / afterwards approved & opened by the Company is now fully used & cancelled. But in order that any Bills drawn by Mr. Morgan in case he should require further funds, without being able to give our notice thereof, should be protected, he has authorized his, friends in New Orleans further to accept from said Morgan to the amount of Two Thousand Dollars: of which, however, no use is yet advised

Norfolk 26th Aug. 1835

Mr. Young,Sir

I noticed in the "Palladium & Republican" of Aug 22d. ^ a notice addressed to mechanics and laborers- offering proposals for an imigration to Texas, and referring to you for information. I am a mechanic - a carpenter and joiner - and if the terms are acceptable should like to visit Texas. As for Morality & industry. I have so far kept clear of the Jail & workhouse. I do not think it worth while of offer any references untill I know the terms of ingagement. An immedi ate answer is solicited.

Articles of an Agreement entered into between his Excellency David G Burnet, President of the Republic of Texas of the one part and His Excel ency General Antonio Lopez de Santa Anna, President General in [Chief?] of the Mexican Army of the other part

Article 1st General Antonio Lopez de Santa Anna agrees that he will not take up [arms?] nor will he use his influence to cause them to be taken up against the {People?] of Texas during the present war of Independence.

2nd All hostilities between the Mexican and Texian troops shall cease immediately both on land and water.

3rd The Mexican troops will evacuate the territory of Texas passing to the {other?] side of the Rio del Norte.

4th The Mexican Army in its retreat shall not take the property of any [person?] without his consent and just indemnification using only such [articles?] as may be necessary for its subsistence in cases where the [owner?] [may not?] be present and remitting to the Commander of the Army of Texas {or to the?} Commissioners to be appointed for the adjustment of such matters [and acc?] ount of the property consumed, the place where taken, and the name of [the?] owner if it can be ascertained.

5th That all private property including cattle, and horses, negro slaves or [inden?] tured persons of whatever denomination, that may have been captured by any person of the Mexican Army or may have taken refuge in the [said?] army since the commencement of the late invasion, shall be restored [to the?] Commander of the Texian Army or such other person as may [be?] [appoi?] nted by the Government of Texas to receive them.

6th The Troops of both armies will refrain from coming in [contact with?] each other, and to this end the Commander of the Army of [Texas?] will be careful not to come with in a shorter distance of the Mexican Army than Five leagues.

7th The Mexican Army shall not make any other delay on its March [than?] than that which is necessary to take up thier hospitals [baggage?] and
