[Dues?] for your extreme favor under date of 30th ultimo by the [Am?] Capt [Hand?] has been received. That vessal with almost all the rest has been wrecked coming in it is said she ran on anchor which caused her to fill at once. of course all that could damage [cargo?] damaged except a few trunks of clothing [and?] some coffee.

When the [Am?.] arrived your man Turner was here, sent over [by?] Doctor Patrick for the $300 and drew for two hundred more. I sent them four hundred and made arrangements for the other hundred. I also sent the letter to Richardson.

We are informed by last mail that Austin is still held in Mexico on bail and that the law of [Genl?] [uprise?] has not passed. This is an order come to the political chief to suspend the operation of Mr. Robertson as Empressario and for the chief to Examine the whole affair and to report to the Govt Thus you see that colony is shut up for the present.

The collector was about to ship to Galveston and told me he would take up his residence at Anahuac.

Washington, the purchase of vessels, goods and provisions for the purpose of carrying on the operation aforesaid and of managing all matters incidental thereto

Third The subscribers hereto are to be bound by the stipulation herein contained subject to liabilities now & hereafter to be incurred each for himself only.

Fourth The Stock of the association including lands pur chased or contracted for, or which shall hereafter be purchased, buildings, vessels & monies arising from the sale thereof, & all other funds & personal property has been divided by a resolution of the Shareholders. Which is hereby made a permanent article of this association into six hundred & ten shares of one hundred dollars each share, and taken by the above named parties in the proportion following, to wit Samuel Swartwout one hundred & fifty shares, John S. Bart lett, one hundred shares, Thomas E. Davis fifty shares Stephen Sicard fifty shares, James Watson Webb fifty shares, James Morgan fifty shares, Lorenzo De Zavala twenty five shares,Joseph Avesanna twenty five shares William Dall twenty five shares, Walter Mead twenty five shares, Walter Mead, twenty five shares, James Treat fifty shares, and John P Austin, ten shares.

Fifth The subscribers shall be respectively liable to pay at such times and in such manner as the Man agers of the Association shall hereafter direct in the proportion of their respective shares such [sizing?] as shall be required for the purposes of the association not exceeding in all, Sixty one thousand dollars which is the present limit of the capital to be invested, & in default thereof by any shareholder he shall forfeit all right and inter est in the shares subscribed for by him & all pay ments previously made by him. Each shareholder to be liable however only for his own proportion as above.

Sixth Samuel Swartwout, John P. Austin & James Treat having been by resolution of the association appointed a board of managers for the purpose

New York Sept 10th 1836

Sir

I had the pleasure, a few days since, by water via New Orleans, under cover to [?] [Reed of?]. Enclosing copy of Resolutions, passed at a meet ing of the Stockholders in the New Washington Association and according to my then promise. I now hand you a second copy, duly certified of the same.

The proceedings of the meeting, together with the Resolutions. (as you will perceive) are intended to cover the whole ground, or interval, between your departure from this city, and the latest dates from you, in as much as there has been no occasion for any specification on the part of the Shareholders, and all my communica tions having been made unofficially, thought generally after consultation with the Managers of the concern.

The result is, (and this was the object) that your acts and mine are hereby approved by the Shareholders.

This I thought would be satisfactory to you, and was rather called for under the circumstances.

The closing up of the Bermuda negotiation was a matter of course, being impracticable.

The resolution in relation to the extra credit of $2000 which I have opened for you with Cuculler Lepeyre & Co. (to be used in case of need) also required the sanction (which it now has) of the Board, and Mr. Lapeyre is duly advised that it is open for that amount. This I myself had done, long before the meeting and Lapeyre advised in conformity. You can draw if necessary. You will see by the Exhibit of the [?]. The 73 pr% already called in is expended, and my responsibilities in cluding the Company debt to you of $8000, absorb

Cedar Point 30th July 1841

My dear Colonel

We felt the most painful anxiety for Mrs Lee on your voyage up yesterday, aware as we were of her great timidity on water. I thought Mother and Mrs Houston would have gone into fits to see the Boat top and dive in the breakers. Of course you reached home safe with your preci -ous charge. Don't let it deter the Madam from coming to see us in future. The Ladies salute Mrs Lee and the dear little Lee, with their best respects, to Col Morgan!

I send you No 2, of "Truth," and as it is interlined so much, I hope you will have it copied, corrected and if you can, hand it to Baker
