Gentlemen:

Mr. Lathrop informs me he declined, during my absence, to sign the agreement made between J. H. Roberts and C. E. Hooper of the City of Sacramento, and the Pacific Improvement Co. for the purchase of 1800 shares of the Capital Stock of the Sacramento Transportation Co., representing ^ an investment in the neighborhood of $300,000.00

He mailed to me a copy of the agreement presented to him to sign, saying if I authorised him to sign he would "cheerfully do so." His refusal to sign meets

It was agreed, and I supposed thoroughly understood by all the principals of the P. I. Co., that they should not enter into any new enterprises or purchase any more property, in other words, not further encumber the P. I. Co., but aid in every way possible to liquidate and lessen its indebtedness.

As Executrix of my late husband's estate, I decline to place my name on this agreement or any other paper not calculated to lessen the debts of the P. I. Co. I consider it my duty to place my

self on record as having lived up to the meaning of our agreement, when my acts as Executrix are investigated by others who have rights in my husband's estate my transactions shall not be open to criticism.

I do not wish to be considered an obstructionist or a hinderance to the vast business we are all interested in. I am following my own sense of honor and duty towards others who have rights in my husband's properties, and are trusting me to be just and faithful to the sacred trust reposed in me.
