The University of North Carolina Chapel Hill, North Carolina

1. Subject to the Terms and Conditions (PWA Form No. 230, as amended to the date of this Offer.), which are made a part hereof, The United States of America hereby offers to aid in financing the construction of additions and improvements to waterworks, heating and power systems, including necessary equipment (herein called the "Project") by making a grant to the University of North Carolina (herein called the "Applicant") in the amount of 45 per cent of the cost of the Project upon completion, as determined by the Federal Emergency Administration of Public Works (herein called the "Administrator"), but not to exceed, in any event, the sum of $137,925.

2. By acceptance of this Offer the applicant covenants to begin work on the Project as early as possible but in no event later than 8 weeks from the date of this Offer and to complete such Project with all practicable dispatch, and in any event within 12 months from the commencement of construction.

3. This Offer is made subject to the express condition that, if the Administrator shall determine at any time that the Applicant has paid or agreed to pay, whether directly or indirectly, a bonus, commission or fee to any person, firm or corporation for attempting to procure an approval of the Applicant's Application, or for alleged services in procuring or in attempting to procure such approval, or for activities of the nature commonly known as lobbying performed or agreed to be performed in connection with the Application, then the Administrator shall have the right, in his direction, to rescind this Offer and any agreements resulting herefrom, and, in the event of such recission, the United States of America shall be under no further obligation hereunder.

Section 2. That said University of North Carolina agrees to abide by all the Terms and Conditions of said Offer, including the Terms and Conditions annexed thereto and made a part thereof.

Section 3. That the Secretary be and he is hereby authorized and directed forthwith to send to the Federal Emergency Administration of Public Works three certified copies of the proceedings of the Executive Committee in connection with the adoption of this Resolution, setting forth this Resolution in full, and such further documents or proofs in connection with the Acceptance of said Offer as may be requested by the

The above Resolution was seconded by Mr. Irvin B. Tucker and was adopted with the following voting aye: Gov. Clyde R. Hoey, Miss Easdale Shaw, Chas. Whedbee, Irvin B. Tucker, Leslie Weil, Clarence Poe; and the following voting nay: None.

The Chairman thereupon declared said Resolution carried and the Secretary thereupon signed said Resolution in approval thereof.

Mr. Weil then moved the adoption of the following Resolution:

"RESOLVED: That Frank P. Graham, President and Chas. T. Woollen, Controller, be authorized to sign the Acceptance Agreement and other communications with the United Spates Government relating to this grant offer under Docket No. 1074-PP-F to receive and tabulate Bids and to award and sign contracts for the construction included in these dockets, within the amount of funds available for this purpose, and to solicit such additional funds as may be required for the University's share of the total cost."

This Resolution was seconded by Mr. Poe, and was adopted by unanimous vote.

The following Resolution was then offered by Mr. Poe:

WHEREAS, the United States of America, Public Works Administration, on June 27, 1938, made an offer to the North Carolina State College of Agriculture and Engineering of the University of North Carolina, of a grant not exceeding $183,690 as 45% of the cost of constructing a Chemistry Building and Dairy Plant (Docket NC 1317-F), and said offer was duly accepted;and,

WHEREAS, it now appears that because of tie large increase in student enrollment in Chemistry classes the major portion of the estimated total cost of this project ($408,200) is needed for the Chemistry Building, therefore be it

RESOLVED:

That the Public Works Administration be requested to consider the application of $24,500 for the Dairy Plant; the remainder to be applied to the Chemistry Building construction.

The adoption of the Resolution was seconded by Mr. Tucker, and it was adopted by unanimous vote.

Controller Woollen then presented the following report of the State Treasurer on the sale of §178,000 University of North Carolina Dormitory Building Revenue Bonds:

I, Charles M. Johnson, Treasurer of the State of North Carolina, certify that the above bids were received on August 19, 1938, and award was made to R.S. Dickson & Company, and Hardin Company at $178,000 par value and premium of $606.50, $73,000 maturing from August 1, 1940, to August 1, 1949, at 4% interest rate, and $105,000 maturing from August 1, 1950, to August 1, 1959, at 3½% interest rate, which bid and award were approved by the North Carolina Council of State on August 10, 1938.
