AGREEMENT

Agreement entered into this day between "INTERMOUNTAIN
PRORECRUVE SERVICE"., Salt Lake City, Utah, hereinafter called
the party of the first part and
hereinafter called the party of the second part.

The party of the second part agrees to devote his time
and attention to the faithful preformance of "INTERMOUNTAIN
PROTECTIVE SERVICE." The party of the second part agrees
that he will never atany or in any way , divulge, without
the permision of said party of the first part, any secret of
whatever, nither will he divulge the name or the first part , any secret of
party of the first part.

In the event of his being engaged on secret work, it is agreed
that he shall never, underany circumstances, divulge, his position,
the nature of his business or the name of his employer. That he shall
give each day, the exact proceedings of his investigation without
favor to any person or persons and that he shall render a correct
report of his expenses for each day.

It is agreed that the signatue of the party of the second part
as attached hereto, shall be and always remain as an oath before a
Justice or Notary.

This agreement shall hold good after daid party of the second
part has left the employ of party of the first part and that he shall
consider himself unde this obligation always, as far as the contents
of these presents are concerned.

It is further agreed that in the case the party of the second part
intentionally divulges any secret or fails in the faithful performance
of his duty or is intentionally dishonest or lacking in his efforts,
that he shall forfeit the sum of two hundred follars to the party of
the first party and in addition to this, and money that is due him from
the party of the first part.

The party of the first part agrees to pay party of the second
part per day and such incidental expenses as may be absolutely
necessary to the successful completion of the case in hand while engaged
in the serice of " INTERMOUNTAIN PROTECTIVE SERVICE, INC.".
